  • Notwithstanding the foregoing, it is expressly acknowledged and agreed by KSC, for itself and on behalf of Cohl, that R/S Services shall be limited to the provision of management, consulting or similar services for a fee only and shall not include any type of arrangement that would be comparable to, or otherwise constitute, the acquisition of rights from the Rolling Stones to promote a tour of musical events or otherwise own, pursue or exploit the grant of any rights from the Rolling Stones.

  • For RS Services in process, Customer agrees to pay a cancellation fee equal to the price of all RS Services rendered to date and not paid for, plus Seller's reasonably incurred out of pocket expenses for those RS Services ordered by Customer and subsequently canceled.

  • Notwithstanding the above, the termination provisions related to maintenance and Extended Warranty type RS Services are as follows: prior to commencement of maintenance service, Customer may cancel coverage at no charge and receive a refund for any prepaid amount.

  • The automobile shall be of a class consistent with past automobiles used by the Executive while an employee of RS Services.

  • The President of the Company shall be the highest ranking officer of the Company, unless and until the Company is merged with or into an affiliate or subsidiary of Host in which event the Executive shall be the highest ranking officer of the RS Services division of such merged entity.

  • Unless otherwise agreed to by the parties, the prices to --------- be paid for RS Services ("RS Prices"), shall be as set forth in Exhibit G.

  • For RS Services to be offered in the future which are not listed on Exhibit G as of the date hereof, such RS Services will be offered at RS Prices to be mutually agreed upon by the parties.

  • Effective September 1, 2000, all Employment Retention (RS) Services will be provided solely through the Employment Security Department.

  • Nothing in Section 24 of this License Agreement shall be construed to in any way limit or constrain RS Services, Inc’s intellectual property rights to innovations or improvements that are unrelated to providing TEGG Service, including the development of the LightMasterPlus, MotorMasterPlus, and other energy management/conservation products the company has under development now and in the future.

  • In the event Seller accepts an RS Change Order and such change affects Seller's ability to meet its obligations under the original order, any RS Price or RS Services completion date quoted by Seller with respect to such original order is subject to change.

Related to R&S Services

  • SaaS Services means software as a service consisting of system administration, system management, and system monitoring activities that ▇▇▇▇▇ performs for the Tyler Software, and includes the right to access and use the Tyler Software, receive maintenance and support on the Tyler Software, including Downtime resolution under the terms of the SLA, and Data storage and archiving. SaaS Services do not include support of an operating system or hardware, support outside of our normal business hours, or training, consulting or other professional services. • “SLA” means the service level agreement. A copy of our current SLA is attached hereto as Exhibit C.

  • Products/Services means the goods/benefits/facilities offered by the Alliance Partner.

  • Goods/Services means the goods and/or services detailed in the Purchase Order issued by Versuni Supplier; “Intellectual Property Rights” (or “IPR”) means all intellectual property rights of any nature applied for or existing anywhere in the world for their full term and together with any revivals, renewals or extensions. “Purchase Order” means the Versuni purchase order issued by Versuni to procure Goods/Services from the Supplier, to which these conditions are attached by reference;;

  • Wireless services means any services, provided using licensed or unlicensed spectrum, including the use of Wi-Fi, whether at a fixed location or mobile.

  • Access Services refers to interstate and intrastate switched access and private line transport services.
