RRPT as defined in Section 3.1.

  • If either RRPT or REIT Sub2 fails to perform its respective obligations hereunder, the other party may perform such acts as are required to fulfill such obligations, at the cost of the breaching party.

  • The proposed Ordinary Resolution 3 if passed, is primarily to authorise Al-`Aqar to enter into RRPT with Related Parties, particulars of which are set out in the Circular to Unitholders dated 30 March 2021, which are necessary for the day-to-day operations of the Group and are based on normal commercial terms that are not more favourable to the Related Parties than those generally made to the public.

  • RRPT requires written notice of your cancellation (email will be adequate), at which time the following fees are non- refundable: • 60 days or less before the start of the trip – 100% of the fees paid are non-refundable • 61-100 days – RRPT will refund your payment if we can fill your spot.

  • The Interested Director mentioned above shall abstain and will continue to abstain from all deliberations and voting at the Board of Directors’ meeting and/or Directors’ Circular Resolution (where applicable) of KPS in respect of the RRPT pursuant to Section 221 and 222 of the Companies Act, 2016.

  • The procurement of the Proposed RRPT Mandate would reduce substantially administrative time, effort and expenses associated with the convening of separate general meetings to seek Unitholders’ approval as and when potential RRPT arise.

  • The Interested Directors mentioned above shall abstain and will continue to abstain from all deliberations and voting at the relevant resolutions of the Board of Directors of KPS Berhad in respect of the RRPT pursuant to Sections 221 and 222 of the Companies Act 2016, Paragraph 10.08(6) of Bursa Securities MMLR and Directors Conflict of Interest Policy of KPS Berhad.

Related to RRPT

  • Relative Total Shareholder Return means for the Incentive Period the Total Shareholder Return of the Company compared to the Total Shareholder Return of the Peer Group, as more particularly set forth on attached Exhibit C.

  • Total Stockholder Return means the total return (change in share price plus reinvestment of any dividends) of a Share.

  • Non-profit making companies means companies set up under the Companies Act, 1956/Companies Act 2013.

  • DCYF or the “Division” means the Department of Health and Human Services’ Division for Children, Youth and Families.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.
