  • RRIC will pay or reimburse the Custodian upon its request for all reasonable expenses, disbursements and advances incurred or made by the Custodian in accordance with any of the provisions of this Custodial Agreement (including the reasonable compensation and the expenses and disbursements of its counsel and of all persons not regularly in its employ), except any such expense, disbursement or advance as may arise from its negligence or bad faith.

  • Upon receiving such notice of resignation, the Indenture Trustee shall either take custody of the Mortgage Files itself and give prompt notice thereof to RRIC, RMAC and the Custodian or promptly appoint a successor Custodian which is able to satisfy the requirements of Section 3.7(i) of this Custodial Agreement by written instrument, in duplicate, one copy of which instrument shall be delivered to the resigning Custodian and one copy to the successor Custodian.

  • Any resignation or removal of the Custodian and appointment of a successor Custodian pursuant to any of the provisions of this Section 3.5 shall become effective only upon acceptance of appointment by the successor Custodian and subject to the prior approval of RRIC and RMAC.

  • All fees and expenses of any successor Custodian shall be the responsibility of RRIC.

  • RRIC, RMAC, the Servicer, the Master Servicer and the Indenture Trustee agree to obtain the Custodian’s written consent prior to entering into any amendment or modification of the Agreement which affects any right, benefit, duty, or obligation of the Custodian thereunder.

  • If in performing the reviews required by this Section 2.3, the Custodian finds any document or documents constituting a part of a Mortgage File to be unexecuted or missing or, based on the criteria set forth in Section 2.1(b) of the Contribution Agreement, to be unrelated to the applicable Mortgage Loan, the Custodian shall promptly so notify RRIC, RMAC and the Indenture Trustee.

  • The Indenture Trustee shall give prompt notice to RRIC, RMAC, the Servicer, the Master Servicer and the Custodian of the appointment of any successor Custodian.

  • RRIC, RMAC, the Servicer, the Master Servicer and the Indenture Trustee agree to obtain the Custodian's written consent prior to entering into any amendment or modification of the Agreement which affects any right, benefit, duty, or obligation of the Custodian thereunder.
