RPPS Services definition

RPPS Services means the provision by Bank to SPV, or Servicer on behalf of SPV, through the use of the ICA Number, of access, pursuant to the terms of this Agreement, to the RPPS processing, clearing, and settlement capability offered by MasterCard. "RPPS Services" shall also include any other services defined as "RPPS Services" in any schedule to this Agreement signed by the parties and expressly referencing this Agreement and the inclusion of such services as part of the RPPS Services.

Examples of RPPS Services in a sentence

  • You agree to maintain records reflecting the transaction(s) giving rise to each payment for a reasonable period of time but in no event less than two (2) years to assist in resolving any end user disputes that may arise in connection with the MasterCard RPPS Services.

  • Bank, SPV and Servicer shall each have sufficient rights in and to all specifications, tapes, and programs utilized or developed by any of them to allow them to perform and carry out the ACH Services, RPPS Services and E-Pay Services, or otherwise in connection with the performance of this Agreement.

  • The Bank may terminate providing MasterCard RPPS Services at any time pursuant to section 1.2 of this Agreement.

  • You agree to comply with the Requirements of Law, Rules, and Association Rules which in regard to the MasterCard RPPS Services shall also include MasterCard RPPS rules, manuals and other published policies such as the MasterCard RPPS User Guide and Operating Rules in effect from time to time (“MasterCard RPPS Documentation”).

  • The Bank is not responsible to third parties for your use of the MasterCard RPPS Services.

  • You may terminate receiving MasterCard RPPS Services at any time upon ninety (90) days prior written notice.

  • You shall not access or use MasterCard RPPS Services other than as authorized by the Bank.

  • As applied to MasterCard RPPS Services, such information includes, but is not limited to, pricing and technical information, research and technological information, trade secrets, source code, customer information, strategies, techniques, processes, operating procedures, and other information pertaining to the business of each party (“Confidential Information”).

  • Bank may terminate its obligations under this Agreement to provide, RPPS Services or E-Pay Services at any time upon written notice to SPV after receipt by Bank of notice from MasterCard or VISA that MasterCard or VISA has terminated access to RPPS or E-Pay, as the case requires.

  • In addition, the Bank may reduce any subsequent payment the Bank owes to you under MasterCard RPPS Services, that the Bank deems necessary because of any adjustment, error, termination of MasterCard RPPS Services, fees owed to the Bank, any acts or omissions in breach of MasterCard RPPS Services by you, or any other obligation you owe to the Bank arising under MasterCard RPPS Services or any other agreement between you and the Bank.

  • SaaS Services means software as a service consisting of system administration, system management, and system monitoring activities that ▇▇▇▇▇ performs for the Tyler Software, and includes the right to access and use the Tyler Software, receive maintenance and support on the Tyler Software, including Downtime resolution under the terms of the SLA, and Data storage and archiving. SaaS Services do not include support of an operating system or hardware, support outside of our normal business hours, or training, consulting or other professional services. • “SLA” means the service level agreement. A copy of our current SLA is attached hereto as Exhibit C.

  • Goods/Services means the goods and/or services detailed in the Purchase Order issued by Versuni Supplier; “Intellectual Property Rights” (or “IPR”) means all intellectual property rights of any nature applied for or existing anywhere in the world for their full term and together with any revivals, renewals or extensions. “Purchase Order” means the Versuni purchase order issued by Versuni to procure Goods/Services from the Supplier, to which these conditions are attached by reference;;

  • Products/Services means the goods/benefits/facilities offered by the Alliance Partner.

  • Wireless services means any services, provided using licensed or unlicensed spectrum, including the use of Wi-Fi, whether at a fixed location or mobile.

  • Cloud Services means SAP’s then-current cloud services offered under and described in detail in the applicable SAP PartnerEdge Model.
