  • Notwithstanding anything herein to the contrary, Seller shall have the option, exercisable by written notice to Purchaser for any reason at any time prior to the Closing, not to sell to Purchaser pursuant hereto the Applicable RPPO Contract (or any portion thereof, including on a county-by-county basis), and if Seller exercises such option, the Applicable RPPO Contract (or the applicable portion(s) thereof) shall cease to be a “Conveyed Medicare Advantage Contract” for all purposes of this Agreement.
