Notwithstanding anything herein to the contrary, Seller shall have the option, exercisable by written notice to Purchaser for any reason at any time prior to the Closing, not to sell to Purchaser pursuant hereto the Applicable RPPO Contract (or any portion thereof, including on a county-by-county basis), and if Seller exercises such option, the Applicable RPPO Contract (or the applicable portion(s) thereof) shall cease to be a “Conveyed Medicare Advantage Contract” for all purposes of this Agreement.
Upon Seller’s request, Purchaser shall, and shall cause its Affiliates to, reasonably cooperate with Seller and its Affiliates in connection with (1) any split or conversion of the Applicable RPPO Contract into, or assignment, transfer or enrollment of the membership thereunder to or in, one or more LPPO Contracts or (2) any alternative structure proposed by Seller that seeks to transfer the Applicable RPPO Contract or the membership thereunder in the applicable counties to Purchaser.
