Rollover Balance definition
Rollover Balance means the Director's Deferral Account balance existing prior to the amendment and restatement of this Agreement. For measurement purposes under Section 3.1.1, the Rollover Balance will be determined as of the Effective Date of this amended and restated Agreement.

More Definitions of Rollover Balance
Rollover Balance means an amount previously shown on an Employer’s financial records as a Participant’s accrual (other than a Participant’s accrual under the Company’s SERP) in any nonqualified deferred compensation plan maintained by such Employer that has been transferred to this Plan or, if applicable, to the Predecessor Plan. Rollover Balances from each such nonqualified plan shall be accounted for separately, such that there is a record of the source of such balance, and a record of any vesting requirement applicable to the Rollover Balance.
