ROIC Threshold definition

ROIC Threshold means the level of ROIC specified by the Committee for the applicable fiscal year below which no portion of the applicable Annual ROIC Target Component shall be earned.
ROIC Threshold means the level of Average ROIC specified by the Committee below which no portion of the ROIC Target Award Amount shall be earned.
ROIC Threshold means the threshold ROIC goal determined by the Committee for the Measurement Period. Pursuant to the foregoing, as of the Award Date, the ROIC Threshold has been determined by the Committee to be 9%. “ROIC Target” means the target ROIC goal determined by the Committee for the Measurement Period. Pursuant to the foregoing, as of the Award Date, the ROIC Target has been determined by the Committee to be 13.5%. “ROIC Max” means the aspirational ROIC goal determined by the Committee for the Measurement Period. Pursuant to the foregoing, as of the Award Date, the ROIC Max has been determined by the Committee to be 18%. (C). Timing of the Committee’s Determinations and Calculations. The Committee shall make any and all such determinations and calculations required under Section (B) above no later than the latest time permitted by the Internal Revenue Code of 1986, as amended, and the regulations and interpretations thereunder. (D).

Examples of ROIC Threshold in a sentence

  • For any portion of an Annual ROIC Target Component to become vested, the Committee must determine that the ROIC with respect to the applicable fiscal year equals or exceeds the ROIC Threshold for such fiscal year.

  • Accelerated Purchase Minimum Price Threshold means, with respect to any Accelerated Purchase made pursuant to Section 2(b) hereof, any minimum per share price threshold set forth in the applicable Accelerated Purchase Notice.

  • Simplified acquisition threshold means the dollar amount below which a district may purchase property or services using small purchase methods. Districts adopt small purchase procedures in order to expedite the purchase of items at or below the simplified acquisition threshold. The simplified acquisition threshold for procurement activities administered under federal awards is set by the FAR at 48 C.F.R. Part 2, Subpart 2.1 [see below]. The district is responsible for determining an appropriate simplified acquisition threshold based on internal controls, an evaluation of risk, and its documented procurement procedures. However, in no circumstances can this threshold exceed the dollar value established in the FAR (48 C.F.R. Part 2, Subpart 2.1) for the simplified acquisition threshold.   • Threshold Period shall have the meaning set forth in Section 6(d).

  • LTM EBITDA means Consolidated EBITDA of the Company measured for the period of the most recent four consecutive fiscal quarters ending prior to the date of such determination for which consolidated financial statements of the Company are available, in each case with such pro forma adjustments giving effect to such Indebtedness, acquisition or Investment, as applicable, since the start of such four quarter period and as are consistent with the pro forma adjustments set forth in the definition of “Fixed Charge Coverage Ratio.”

  • Cash Percentage shall have the meaning specified in Section 14.02(a)(iii).
