Tenant will have the right to elect to purchase the Premises on the ROFR Purchase Terms by delivering to Landlord notice of its election to exercise this option within 15 business days after Tenant’s receipt of Landlord’s notice of the ROFR Purchase Terms.
If Tenant timely exercises Tenant’s option to purchase the Premises, Tenant will have a period of 30 days to deliver to Landlord a draft purchase and sale agreement (“Purchase Agreement”) containing the ROFR Purchase Terms, and the parties shall thereafter negotiate in good faith the terms and conditions thereof and execute the same.
If Tenant fails to timely exercise the ROFR Right for the Premises on the terms specified in the ROFR Purchase Terms, Tenant’s ROFR Purchase Right on the Premises shall automatically expire for that particular offer, and Landlord shall have the right to sell the Premises to such third party on the ROFR Purchase Term and without any restrictions by reason of this ROFR Right, except as expressly set forth in Section 19.5 below.
