Examples of ROFO Option in a sentence

  • The ROFO Option shall be exercisable by Investor by delivering written notice of the exercise thereof prior to the expiration of the Exercise Period.

  • Effective on and after the date of this Amendment, Tenant shall have no ROFO Option or any other like option unless expressly set forth herein.

  • If the acquisition of the ROFO Parcel appears as a ballot measure in a City of Boulder election, and the voters fail to approve the measure, then the City’s ROFO Option shall be deemed withdrawn and shall no longer apply to the applicable ROFO Parcel.

  • Notwithstanding the foregoing, Tenant acknowledges and agrees that its exercise of any ROFO Option hereunder is subject to approval by the Board, if and to the extent such approval is required in accordance with the standard rules, regulations and procedures of the Board of general applicability to lease transactions, consistently applied.

  • The ROFO Option of Tenant hereunder with respect to each respective ROFO Space shall terminate and expire on the earlier to occur of (a) as provided in Section 27.1 above, Tenant’s failure to deliver an Acceptance Notice within the ten (10) day period of time set forth above, or (b) as provided in Section 27.3 above, the date Landlord would have provided Tenant a ROFO Notice if Tenant had not been in violation of one or more of the conditions set forth in Section 27.3 above.

  • Tenant shall have no right to exercise any ROFO Option or to lease any ROFO Space, and Landlord shall have no obligation to deliver a ROFO Notice, if an Event of Default exists on the date the respective space becomes available for leasing or on the date of the Acceptance Notice.

  • If, during the City’s Exclusive Option, the City (i) fails to timely deliver the Option Notice, or (ii) declines to exercise the ROFO Option, then the City’s ROFO Option shall be deemed withdrawn and shall no longer apply to the applicable ROFO Parcel.

  • Provided University has determined in its sole discretion to offer City the ROFO Option and, if applicable, prior to entering negotiations with any third party, the University shall deliver written notice of the ROFO Option no later than the next occurring April 1st (the “ROFO Notice”).

  • If at the time of offering the ROFO Option, the University has commenced constructing any infrastructure or vertical improvements on or to the ROFO Parcel, then the purchase price for the ROFO Parcel shall be determined by the appraisal method set forth in this Section 45.b. The Parties will each select an appraiser.

  • If the closing of City’s acquisition of the ROFO Parcel does not occur on or before January 31st of the calendar year immediately following the Option Year, then the City’s ROFO Option shall be deemed withdrawn and shall no longer apply to the applicable ROFO Parcel, unless otherwise agreed by the Parties in writing.

Related to ROFO Option

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Employee Option means an Option granted pursuant to Section 5.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.

  • First Option has that meaning set out in Section 3.1 (a);

  • Director Option means an Option granted pursuant to Section 6.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Covered Call Option means an exchange traded option entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities (excluding Futures Contracts) which are owned by the writer thereof and subject to appropriate restrictions.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Incentive Option means an option which satisfies the requirements of Code Section 422.

  • Call Option Notice means a written notice from the holder of the Call Option or the Administrator, as applicable, stating its desire to exercise the Call Option on the related Reset Date, delivered to each Clearing Agency, the Indenture Trustee, the Remarketing Agents, the Rating Agencies and, if the related class of Reset Rate Notes is then listed on the Luxembourg Stock Exchange, the Administrator will forward a copy to the Luxembourg Listing Agent (the contents of which are to be published in a leading newspaper having general circulation in Luxembourg).

  • Call Option Period has the meaning given to it in Condition 6.04 (Call Option);

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • SAR means a stock appreciation right granted under the Plan.

  • Option means a stock option granted pursuant to the Plan.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Optioned Shares means the common shares of the Company, issuable on exercise of the Option; and
