For the term of this Agreement, Rocket Software may use Customer’s name in press releases, product brochures, and other marketing materials to indicate they are Rocket’s customer.
Rocket will use Customer’s trademarks, service marks, logos or branding, according to any branding guidelines which Customer makes available to Rocket Software.
Upon early termination of the SOW by Customer (except for Rocket Software’s breach), Customer shall pay amounts specified in the SOW relating to work performed up to the termination date, as well as any additional costs or expenses which Rocket Software has incurred or contracted for with respect to the Services and is unable to avoid.
In the event of any termination, Customer’s license(s) to install, access or use the Licensed Software will immediately terminate, and Customer shall destroy and erase all copies of such Licensed Software in its possession or control and provide written certification to Rocket Software that it has complied with this provision.
Upon any termination of this ▇▇▇▇, or license granted pursuant to this ▇▇▇▇, or upon expiration of a term license: (a) all Software Licenses will immediately terminate; (b) Licensee will immediately cease all use of the Software; and (c) Licensee must either deliver to Rocket Software or destroy all copies of Software, Documentation, and Rocket Software confidential information in Licensee’s possession or control.
Rocket Software will defend Licensee from any Claim, to the extent the Claim arises solely as a result of Licensee’s use of the Software in accordance with the License Documents.

If Rocket Software Processes Personal Data that includes Protected Health Information (“PHI”) pursuant to the Health Insurance Portability and Accountability Act of 1996, 42 U.S.C. §§ 1320d - 1320d-8 (“HIPAA”), the terms in the Business Associate Agreement specified in Section 10.3 below shall also govern such transfer and subsequent use of the PHI by the recipient.
If Licensee orders Software directly from Rocket Software, the Software must be identified on a Transaction Document acceptable to Rocket Software.
Rocket Software may terminate this Agreement, along with any or all licenses then in effect with Customer, immediately by giving Customer written notice of termination in the event that (i) Customer becomes insolvent, has a receiver appointed, or files for or has filed against it, liquidation, bankruptcy or analogous proceedings; or (ii) Customer infringes or misappropriates the intellectual property rights of Rocket Software.
