No litigation or governmental administrative proceeding (or investigation) or other proceeding (other than those relating to routine claims for benefits) is pending or, to the knowledge of RMSI, threatened with respect to any such RMSI Employee Program.
All improvements located on or constituting part of the Real Property and their use and operation by RMSI and the RMSI Subsidiaries are in compliance in all material respects with all applicable laws, ordinances, regulations, licenses, permits and authorizations, except as set forth in Section 3.4 of the RMSI Disclosure Letter.
