  • All of the issued shares of capital stock of RMLC have been duly and validly authorized and issued, are fully paid and non-assessable and are owned directly or indirectly by the Company, free and clear of all liens, encumbrances, equities or claims.

  • The Stations understand and agree that this authorization obligates them to pay an administrative fee to the RMLC, as more fully described in Paragraph 15 of the Settlement Agreement, in support of the RMLC’s ongoing activities in relation to SESAC on the industry’s behalf.

  • The Company and RMLC have paid all federal, state and local taxes and filed all tax returns required to be paid or filed through the date hereof; and except as otherwise disclosed in the Registration Statement, the Time of Sale Information and the Prospectus, there is no tax deficiency that has been, or could reasonably be expected to be, asserted against the Company or RMLC or any of their respective properties or assets that is likely to result in a Material Adverse Effect.

  • SESAC is hereby authorized to provide to the RMLC such of LICENSEE’s proprietary information provided to SESAC pursuant to this Agreement as the RMLC may request in connection with its representation of the local radio industry, unless LICENSEE notifies SESAC in writing to the contrary.

  • SESAC and the RMLC shall notify Represented Stations of the occurrence of the License Availability Date.

  • PMC means Project Management Consultant who is designated supervision agency during execution of this project.

  • MLCC ▇▇▇▇▇▇▇ ▇▇▇▇▇ Credit Corporation, or its successor in interest.

  • The Supplier means the individual contractor, manufacturer distributor, or firm supplying/manufacturing the Goods and Services under this Contract and named in the SCC.

  • QLC means the Quarterly License Charge for use of a DS Offering, subject to the conditions set forth in the Agreement. TBL means Term Based License charge applicable to each license of a DS Offering ordered under the TBL/ALC pricing structure. The TBL is a one-time and non-refundable charge. Payment of the TBL for a DS Offering provides Customer with a license for a period as described in the Product Portfolio and in the Transaction Document (subject to the conditions set forth in the Agreement) to use the Release of such DS Offering made available by DS on the Effective Date of the license. “TBLx” is a TBL for a period of “x” years. As an example, “TBL2” is a TBL for a period of two (2) years. TBL is not automatically renewable.

  • The Vendor means the person, firm, company or organization on whom the Purchase Order is placed and shall be deemed to include the vendor’s successors, representative heirs, executors and administrator as the case may be. It may also be referred to as Seller, Contractor or Supplier.
