RMAC or the “Depositor”) and Ocwen Loan Servicing, LLC (together with any successor entity, “Ocwen” or the “Servicer”).

  • Upon receiving such notice of resignation, the Indenture Trustee shall either take custody of the Mortgage Files itself and give prompt notice thereof to RRIC, RMAC and the Custodian or promptly appoint a successor Custodian which is able to satisfy the requirements of Section 3.7(i) of this Custodial Agreement by written instrument, in duplicate, one copy of which instrument shall be delivered to the resigning Custodian and one copy to the successor Custodian.

  • RRIC, RMAC, the Servicer, the Master Servicer and the Indenture Trustee agree to obtain the Custodian’s written consent prior to entering into any amendment or modification of the Agreement which affects any right, benefit, duty, or obligation of the Custodian thereunder.

  • If in performing the reviews required by this Section 2.3, the Custodian finds any document or documents constituting a part of a Mortgage File to be unexecuted or missing or, based on the criteria set forth in Section 2.1(b) of the Contribution Agreement, to be unrelated to the applicable Mortgage Loan, the Custodian shall promptly so notify RRIC, RMAC and the Indenture Trustee.
