PLL shall take immediate remedial action to cause the Off-spec RLNG to conform to the RLNG Specifications and until such time that such Off-spec RLNG conforms to the RLNG Specifications, such Off-spec RLNG, if off-taken, shall be deemed to have been accepted, but if not off-taken, shall not be considered to have been delivered.
If required, the Buyer shall make necessary arrangements for transportation of e-Bid RLNG from Delivery Point to its plant by entering into necessary commercial arrangements with the concerned gas transporter.
The Seller shall undertake all testing of e-Bid RLNG for quality using the procedures in Annexure 4 and verified in accordance with Article 7.
Further, in case the cumulative drawl in a Fortnight is more than the aggregate of PNDCQ for such Fortnight, excluding Days where the drawl of e-Bid RLNG is in excess of 3% of PNDCQ, then such excess quantity drawn shall also be charged at 120% of the Highest Priced Gas.
Not later than ten (10) o’clock a.m. on the Day immediately preceding Day of e-Bid RLNG delivery, the Buyer shall nominate to the Seller the e-Bid RLNG quantities required in respect of subsequent Day and each such nomination shall be made within the following limitations and, to the extent, that such nomination is so made, it shall be the “Properly Nominated Daily Contract Quantity” for that day which quantity the Seller shall deliver.
Such notification shall specify that the Customer, after the delivery of the final daily delivery of RLNG by PLL, would have utilized the entire quantity of RLNG in MMTBU contracted by the Customer under this Agreement, and as per Schedule 1 (Inventory Management).
Within two days following the end of the Fortnight or end of Supply Period in event the supply of e-Bid RLNG is for a period less than a Fortnight, the Seller shall render to the Buyer a statement (“Payment Statement” or “Invoice”) including the following details for the previous Fortnight which shall show in respect of the previous Fortnight.
Notwithstanding the foregoing, in case Off-spec RLNG causes any damage, PLL shall be responsible for such damage and shall indemnify the Customer against all verifiable relevant claims in this regard, subject to Clauses 16.3 and 16.4, below.
The Seller may raise debit /credit note in the event of any adjustment that may be required in respect of e-Bid RLNG supplied and payments made hereunder.
PLL’s obligation in relation to delivery of RLNG to the Customer as per Schedule 1 (Inventory Management) will be based on the total quantity of LNG in MMBTU delivered by the Customer after adjustments on account of Customer’s Retainage.
