Each Loan Party will, and will cause Rizobacter Argentina S.A. to, (a) keep and maintain all property material to the conduct of its business in good working order and condition, ordinary wear and tear excepted, and (b) maintain, with financially sound and nationally and internationally reputable insurance companies, insurance in such amounts and against such risks as are customarily maintained by companies engaged in the same or similar businesses operating in the same or similar locations.
Each Loan Party has disclosed to the Lender all agreements, instruments and corporate or other restrictions to which such Loan Party or Rizobacter Argentina S.A. thereof is subject, and ail other matters known to it, that, individually or in the aggregate, could reasonably be expected to result in a Material Adverse Effect.
To the best of their knowledge and belief, each Loan Party and/or Rizobacter Argentina S.A. have not incurred in Default or Event of Default nor is continuing.
