This Agreement constitutes the entire agreement between the Parties pertaining to the subject matter of this Agreement and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written (including the term sheet dated February 21, 2017 among River Distributing, the Principals and the Purchaser).
The Contributed Interests were not issued in violation of the Governing Documents of River Distributing or any other agreement, arrangement or commitment to which the Vendors or a Target Group Member is a party and are not subject to or in violation of any preemptive or similar rights of any Person.
Any Damages to be recovered by the Purchaser pursuant to this Article 5 or Article 7 from River Distributing GP, LLC or the Principals shall in the first instance be satisfied against the Remaining Consideration Shares (but solely to the extent of the Indemnity Shares) by reducing the number of Purchaser Exchangeable Shares issuable as part of the Consideration in 26249768.3 a number sufficient to indemnify the Purchaser in respect of such Damages.
