RIP(S)A definition

RIP(S)A means the Regulation of Investigatory Powers (Scotland) Act 2000;
RIP(S)A means that certain Revenue Interest Purchase and Sale Agreement, dated as of May 14, 2021 and amended as of May 24, 2024, by and among Dermavant Sciences GmbH, the Company, solely for purposes of the provisions specified therein, XYQ Luxco S.A.R.L., NovaQuest Co-Investment Funds XVII, L.P., MAM Tapir Lender, LLC and U.S. Bank Trust Company, National Association.
RIP(S)A means the Revenue Interest Purchase and Sale Agreement dated as of the date hereofEffective Date by and among the Swiss Borrower, the RIPSA Collateral Agent and XYQ Luxco S.à ▇.▇., NovaQuest and Marathon Asset Management, L.P., as purchasers (as amendedthe Purchasers (as amended by the Amendment to RIPSA, and as further amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified from time to time).

  • Capitalized terms used herein and not otherwise defined herein shall have the meanings assigned to such terms in the Existing RIPSA.

  • Any references to the RIPSA in the other Transaction Documents shall mean the RIPSA as amended by this Amendment.

  • The entering into of this Amendment by such parties shall not be deemed to limit or hinder any rights of any such party under the Transaction Documents, nor shall it be deemed to create or infer a course of dealing between any such party, on the one hand, and the RIPSA, on the other hand, with regard to any provision of the Transaction Documents.
