The Executive shall be entitled to no additional remuneration for serving as an officer of Rio Properties or any other Subsidiary.
It is also the intention of the Parties that the Executive shall serve as a Director of the Company and of Rio Properties throughout the Term of Employment.
Rio Properties, LLC (“Primary Obligor”), in its capacity as seller and Buyer Obligee, in its capacity as buyer, have entered into that certain Purchase and Sale Agreement and Joint Escrow Instructions dated as of the date hereof (as may be amended, restated, supplemented, waived or otherwise modified from time to time, the “Purchase Agreement”).
All payments of principal and interest in respect of this Note shall be made in lawful money of the United States of America in same day funds at the office of Bank of America for credit to: BANCONTROL Account No. 12337-14196, Reference: Rio Properties, Inc., at ▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇ or at such other place as shall be designated in writing for such purpose in accordance with the terms of the Credit Agreement.
The Company issued the Securities under an Indenture dated as of February 11, 1997 ("Indenture"), between the Company, Rio Properties, Inc.
The Executive shall be entitled to no additional remuneration for serving on the Board or as an officer or director of Rio Properties or any other Subsidiary.
