• Each of RIH, LVH and Resorts acknowledges that it may acquire Confidential Information (as defined below) with respect to the other parties and the businesses such parties conduct.

• For all purposes herein, RIH, LVH and Resorts shall be deemed to be independent contractors of one another and no party shall act, represent or hold itself out as having authority to act as an agent or partner of either of the other parties.
