  • Until the Rights Termination Time, the Company hereby covenants and agrees with the Investor that it shall not, without the approval of the Investor (i) amend or alter any provisions of the Company’s certificate of incorporation or bylaws or (ii) change its place of incorporation (together with clause (i), an “Organizational Change”), in each case in a manner that would disproportionately and adversely affect holders of the Warrants relative to holders of the Company’s common stock.

  • The Investor shall have the right, beginning on the Effective Date and ending at the Rights Termination Time, to request (a “Demand”) that the Company file a Registration Statement (each, a “Registration Statement”) covering the resale of the Registrable Securities.
