Rights Issue Shares definition

Rights Issue Shares means ordinary shares in the capital of the Bank for which holders of Shares are entitled to subscribe pro rata according to their respective holdings of Shares in accordance with the terms of an offer or an invitation made by the Bank for cash subscription; and
Rights Issue Shares means a Share which a Participant can acquire in terms of a Rights Issue by virtue of Forfeitable Shares Awarded to him;
Rights Issue Shares means, in relation to STIP Award Shares and LTIP Award Shares, in the case of a Rights Issue, those Shares offered in terms of such Rights Issue by virtue of being a Participant;

Examples of Rights Issue Shares in a sentence

  • To the extent that Rights Issue Shares are not taken up by any of the shareholders to whom the offer is made they shall be re-allocated for subscription to the subscribing shareholders of record.

  • Subject to and upon Closing, the Receiver shall transfer the Rights Issue Shares to the Offeror in exchange for the full and final settlement of all amounts owing in respect of the Offeror Loan, including any accrued interest, and following such transfer no other amounts shall be owing by the Receiver in respect of the Offeror Loan.

  • Owner Group shall have the right to participate in or assume the defense for, and defend, any Claim covered by this Section, and in such event shall do so at its sole expense and shall bear all other costs and expenses related thereto.

  • Should this Offer Letter be terminated in accordance with its terms, then the Receiver shall as soon as reasonably practicable after such termination, transfer the Rights Issue Shares to the Offeror in exchange for the full and final settlement of all amounts owing in respect of the Offeror Loan, including any accrued interest, and following such transfer no other amounts shall be owing by the Receiver in respect of the Offeror Loan.

  • Other than the Offeror's recourse to the Rights Issue Shares, the Receiver shall have no liability to the Offeror Group or any other Person in respect of the Rights Issue Shares and/or the Offeror Loan, including as to any interest, Taxes, costs and expenses.

  • The provisions of this Deed shall apply, mutatis mutandis, to such Rights Issue Shares as if they were Scheme Shares.

  • The Offeror undertakes to indemnify and hold the Receiver harmless against and in respect of any and all liability for any and all Taxes payable or incurred by the Receiver in connection with the transactions described in this Section 8.1(ii) including the acquisition of the Rights Issue Shares, interest accruing on account ofthe Offeror Loan and the transfer of the Rights Issue Shares in exchange for the settlement of the Offeror Loan.

  • The Rights Issue Shares shall be offered at a price per share of AUD$0.35.

  • Such Rights Issue Shares shall be created by way of an ordinary capital increase against cash and an offering to Buyer's shareholders (failing which to the public or to selected new investors in private placement transactions) of the rights to acquire the newly issued Rights Issue Shares and shall be structured such that it requires an absolute majority of votes at the EGM (as defined below).

  • The Rights Issue Shares shall be offered only to the existing shareholders of record of BQT Solutions on a pro-rata basis as of the record date for the issue.
