Reverse Transition definition

Reverse Transition. As defined in Section 15.7.
Reverse Transition. : means the process by which the current ASP assists the Bank or its authorized ASP / vendors / Service Providers to take up the entire operations of the IT infrastructure including DC, DR and Network environment used by the current ASP for rendering technical and functional services to the Bank for agreed monthly fees.
Reverse Transition means the process by which successful bidder assists NABARD or its authorized vendor(s) to take up the entire support, maintenance etc operation for rendering desired services to NABARD.

Examples of Reverse Transition in a sentence

  • When a reference is made in this Agreement to “Service Provider” or “Service Recipient,” such reference shall be to the provider or recipient of either Transition Services or Reverse Transition Services as the context requires with reference to the particular Transition Service or Reverse Transition Service at issue.

  • Either Party may designate a different individual as its lead representative with respect to the Transition Services or the Reverse Transition Services at any time by delivering prior written notice to the other Party.

  • The names and contact information for each of Service Recipient’s and Service Provider’s lead representative with regard to an issue or dispute arising out of or relating to the Transition Services and Reverse Transition Services shall be set forth on Scheduled III hereto.

  • In connection with the foregoing, the parties will cooperate in good faith to finalize the scope and other terms of the services to be provided by Seller or Purchaser, as applicable, pursuant to the Transition Services Agreement and the Reverse Transition Services Agreement (which such cooperation shall include, to the extent reasonably requested by the other party, making appropriate personnel available to participate in meetings and other discussions relating to the foregoing).

  • Unless otherwise provided for in this Agreement, the Parties shall use their commercially reasonable efforts to cooperate with each other in all matters relating to the provision and receipt of the Transition Services and the Reverse Transition Services.

  • Within a reasonable timeframe after the receipt of such request (taking into account the nature of the service being requested), the parties shall negotiate in good faith the implementation, cost and duration of such services, upon agreement, the “Reverse Transition Services.” The cost of such Reverse Transition Services shall be listed on Exhibit C.

  • For the avoidance of doubt, the Transition Services and the Reverse Transition Services will not necessarily be limited to the services described in the General Scope of Services.

  • The provision of such Reverse Transition Services shall in all respects be subject to the terms of this Agreement shall be added to Exhibit C, and shall constitute an amendment to this Agreement.

  • Records related to the Services and the Reverse Transition Services to be retained in accordance with the record retention provisions of the Agreement or in accordance with EU, US and International Conference on Harmonisation of Technical Requirements for Registration of Pharmaceuticals for Human Use (ICH) records retention requirements, whichever is longer.

  • The Transition Service Fees shall be invoiced by SUNE to TerraForm and the Reverse Transition Service Fees shall be invoiced by TerraForm to SUNE, as applicable, in accordance with the procedures and timelines described on Schedule 1 or Schedule 2, as applicable.

Related to Reverse Transition

  • Transition means the:

  • reverse repurchase transactions means transactions whereby a Sub-Fund purchases Securities from a counterparty of Sale and Repurchase Transactions and agrees to sell such Securities back at an agreed price in the future.

  • Transition Plan means a transition plan, acceptable to the LHIN that indicates how the needs of the HSP’s clients will be met following the termination of this Agreement and how the transition of the clients to new service providers will be effected in a timely manner; and

  • Technology Transfer Agreement has the meaning given in Section 2.2(e).

  • Transition Date means the date on which this contract comes into effect for all purposes.
