Returns to Shareholders means all distributions to Shareholders that are made pro rata based on the NAV of the Shares (which NAV may vary between classes).

As used in this definition, “liabilities” includes preference or preferred stock of the Company or any Consolidated Subsidiary only to the extent of any such preference or preferred stock that is subject to mandatory redemption or sinking fund provisions.
