Return Performance means the demonstration of the Tax Equity Member’s actual internal rate of return (if applicable, determined on both a pre-tax and after-tax basis) since the initial capital contribution date for the applicable Partnership Flip Fund by comparison to its applicable target internal rate of return (if applicable, measured on both a pre-tax and after-tax basis), as shown in the Tracking Model or associated reports, exhibits or supplemental information.

  • Relative Total Shareholder Return Performance (“Relative TSR Performance”) will determine fifty percent (50%) of the Target Amount (“TSR Percentage”).

  • Your Total Stockholder Return Performance Factor, expressed as a percentage, will be determined in accordance with the table below based on the Corporation’s Percentile Ranking of TSR against the Peer Performance Group for the Performance Period; provided, however, that, notwithstanding anything in this Award Agreement to the contrary, if the Corporation’s TSR for the three-year Performance Period is negative, the maximum Total Stockholder Return Performance Factor shall not exceed 100%.
