Retiring Directors has the meaning given in clause 8.3(i).
Retiring Directors means the persons identified in schedule 1 as directors of any Group Company registered in England and Wales but excluding ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ and ▇▇▇▇▇ ▇▇▇▇▇▇

Examples of Retiring Directors in a sentence

  • Each Party agrees and acknowledges that each Retiring Director is a third party beneficiary of each provision of this Agreement that makes reference to the Retiring Directors.

  • The Company at the annual general meeting at which a Director retires Retiring Directors in accordance with these Articles may fill up the vacated office by to remain in office electing a person thereto, and in default of such election by the till successors Company, the retiring Director shall be deemed to have been re-elected appointed.

  • If the foregoing is in accordance with your understanding, please sign and return to us ten counterparts hereof, and upon the acceptance hereof by, or on behalf of, each of the Underwriters and Sponsors, this Agreement and such acceptance hereof shall constitute a binding agreement among each of the Underwriters, the Sponsors, the Company, the Directors, the Retiring Directors and each of the Selling Shareholders.

  • Written resignations of the Retiring Directors and the Retiring Secretary in the agreed form resigning their respective offices with effect from Completion.

  • Details of the Retiring Directors proposed to be re-elected are set out in Appendix I to this circular.

  • As of the date hereof, the Company anticipates that such slate of nominees shall be limited to the New Independent Appointees and the persons who are members of the Board as of the date of this Agreement other than the Retiring Directors.

  • Retiring Directors will be eligible for re-appointment or re-election.
