Retail Ventures Entities definition
Retail Ventures Entities means Retail Ventures and its Subsidiaries (other than the DSW Entities), and “Retail Venture Entity” means any one of the Retail Venture Entities currently in place on the effective date of the Registration Statement and any businesses added under the control of Retail Ventures.

Unless otherwise specifically agreed by Retail Ventures and DSW, the DSW Services shall be substantially similar in scope, quality, and nature to those customarily provided to, or procured on behalf of, the Retail Ventures Entities by DSW and/or its Subsidiaries (and/or the Retail Ventures Departments providing the Services which are now a part of DSW) prior to the Offering Date.
Retail Ventures hereby gives DSW the guarantee set forth in Schedule IV of timely payment by each of the Retail Ventures Entities of the amounts described in Sections 5 and 6 of Schedule II hereto that are applicable to each DSW/RVI Shared Asset and each RVI Shared Asset.
