Restricted Lists means Restricted List - Level I (“Grey List - Designated Persons and PI List”) and Restricted List - Level II (“Employees and PI Restriction”) as maintained under the Prevention of Insider Trading Policy of Ambit Group.

• Customer represents and warrants that Customer is not listed on (a) the U.S. Commerce Department's Entity List, Denied Persons List, and Unverified List; (b) the U.S. Treasury Department's Specially Designated Nationals & Blocked Persons List; or (c) the U.S. State Department's Debarred Parties List (together, the "Restricted Lists") and will not transfer Customer’s trial to, or let Customer’s trial be used by, any party listed on any Restricted Lists.

• Keysight may, in its sole discretion, suspend performance or cancel all or part of the order if Customer is designated on US Restricted Lists or does not comply with the provisions of this section and may, in its sole discretion, refuse to perform any post-sale services with respect to the Deliverables (including, but not limited to, any repair or replacement under warranty) if such activities would involve in any way, an entity on any US Restricted Lists.

• Notwithstanding the foregoing or anything else to the contrary in this Indenture, if the jurisdiction of the Issuer is included on either of the EU/UK Restricted Lists, the Issuer (or the Collateral Manager on the Issuer’s behalf) may, but shall not be obligated to, change the jurisdiction of registration of the Issuer whether by merger, consolidation, reincorporation or otherwise, subject to satisfaction of the S&P Rating Condition.
