Restitution Payment or “Restitution Payments” means the Owner Restitution,

  • Upon receipt of the Restitution Payment in full without set-off or deduction and a release of Investor and Parent from any obligations, liabilities and claims with respect to ICP Israel and/or to the Developers (the "Release"), the Investor shall transfer its limited partnership interests and shares in the General Partner as per the instructions of the General Partner.

  • Any Expenses owed by Endocare for the Limited Payment Period, pursuant to paragraph 4 above, shall be paid within 10 days of Endocare’s receipt and deposit of the Endocare Restitution Payment.

  • Except for failure by the SF Recology Companies to make any payment of the Restitution Payment or Settlement Payment required under this Agreement in accordance with Section 2.2 (which is subject to a 10-day cure period as provided in subsection b above), in the event of an alleged Default by either Party, the allegedly defaulting Party shall be given a forty-five-day period from the date of receipt of the Notice of Default in which to correct or cure the breach.
