Resolution Documents means this Agreement, the Regents/Repligen Settlement Agreement, the Wellstat/Repligen Settlement Agreement, the Regents/Wellstat License Agreement, and each of the Amended Repligen Licenses.

Resolution Documents means (i) the Authorizing Resolutions and (ii) each other agreement, instrument and document executed and delivered pursuant to or in connection with any of the foregoing.

Examples of Resolution Documents in a sentence

  • Repligen and The Regents are each referred to herein as a “Party” and they are collectively referred to herein as the “Parties.” This Agreement is effective on the date on which the last-to-sign party executes a counterpart of the last-to-be-executed of any of the Resolution Documents (as defined below) (“Effective Date”).

  • This Agreement and the other Resolution Documents supersede any prior understandings or agreements regarding the subject matter hereof, including, without limitation, the Term Sheet, and there are no representations, agreements, arrangements, or understandings, oral or written, that set forth the terms of this Agreement which are not fully expressed herein.

  • Other than such Organizational Documents and the Bond Resolution Documents, there are no additional instruments or documents necessary for the Borrower to execute and deliver, or to perform its obligations under, the WIFIA Loan Documents to which it is a party and to consummate and implement the transactions contemplated by the WIFIA Loan Documents.

  • The WIFIA Bond shall be a Bond under the Bond Resolution, entitled to all of the benefits of a Bond under the Bond Resolution Documents.

  • This Agreement and the other Resolution Documents supercede any prior understandings or agreements regarding the subject matter hereof, including, without limitations, the Term Sheet, and there are no representations.

Related to Resolution Documents

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Exception Documents shall have the meaning set forth in Section 4.2.

  • Application Documents means collectively: (i) the grant application submitted by Grantee, including all exhibits, schedules, appendices and attachments thereto; (ii) all documents, correspondence and other written materials submitted with respect to the grant application; and (iii) all amendments, modifications or supplements to any of the foregoing approved in writing by City.

  • Reorganization Documents means the Reorganization Agreement, this Agreement, the Tax Receivable Agreement, the Exchange Agreement, the Registration Rights Agreement, the Clear Secure Subscription Agreement and the MIP.
