Residual Services definition
Residual Services means those services relevant to military air traffic management and air defence which are not included within the Authority’s Requirements and which will continue to be performed by the Authority during the Contract Period;
Residual Services means any service, function or responsibility which is not explicitly set out in the Requirements Description but which was performed during the six (6) month period preceding the Actual Service Transfer Date by employees and contractors of the Customer or Existing Supplier(s) who are transferred to the Supplier or whose functions are displaced as a result of this Call-Off Contract (irrespective of whether such service, function or responsibility is specifically identified in this Call-Off Contract), but subject always to Clause 2.2.4;
Residual Services means those services to be provided by the Service Provider at the end of the Term as detailed in the Specification. “Schedule” means a schedule attached to the Agreement. “Service(s)” means the service or services to be provided as specified in the Specification. “Service Provider’s Representative” means the individual authorised to act on behalf of the Service Provider for the purposes of the Agreement. “Specification” means the description of the Services to be provided under the Agreement and attached as the Specification Schedule. “Specification Schedule” means the Schedule containing details of the Specification. “Specific Change in Law” means a change in Law which comes into effect after the Commencement Date that relates specifically to the business of the Council, and which would not affect a comparable supply of services of the same or a similar nature to the supply of the Services. “Staff” means all persons employed by the Service Provider to perform the Agreement together with the Service Provider’s servants, agents and sub-contractors used in the performance of the Agreement. “Tax” means value added tax. “Tender” means the Service Provider’s response to the Invitation to Tender “Term” means the period of duration of the Agreement in accordance with clause A2.1. “TUPE” means the Transfer of Undertakings (Protection of Employment) Regulations 2006; “Variation” has the meaning given to it in F3.1. “Working Day” means a day (other than a Saturday or Sunday) on which banks are open for domestic business in the City of London.
Examples of Residual Services in a sentence
The Public Realm Agreements will supersede the Residual Services Agreement or the Street Services Agreement, which ever is in place.
