Reset Threshold definition

Reset Threshold means, in respect of an Underlying Business Day, an amount calculated by the Calculation Agent in accordance with the following formula (subject to calculation at the Calculation Timet or on the occurrence of each Reset Event):
Reset Threshold has the meaning set forth in Section 4.05.
Reset Threshold has the meaning assigned thereto in the Indenture.

Examples of Reset Threshold in a sentence

  • In the event that the volume weighted average price of the Common Stock for the 30 trading days up to and including December 31, 2008 is less than the Reset Threshold, the Company shall notify the Holders of such fact within 30 days of January 1, 2009 and shall include in such notice the adjusted interest rate and Conversion Price.

  • In no event, shall the Company be required to sell Common Stock at a price below the Reset Threshold, as adjusted for all anti-dilution events occurring prior to the offering described in this paragraph.
