Repurchase As defined in Section 2.03(a) of this Agreement.
Repurchase Request Withdrawal As defined in Section 2.03(a) of this Agreement.
Repurchase Offer shall have the meaning specified in Section 11.1(b).
Request for Issuance means a request made pursuant to Section 2.04 in the form of Exhibit B.
Discount Range Prepayment Offer means the written offer by a Lender, substantially in the form of Exhibit K, submitted in response to an invitation to submit offers following the Auction Agent’s receipt of a Discount Range Prepayment Notice.
Request for Purchase shall have the meaning specified in paragraph 2B(3).
Increment Offer means a type of Virtual Transaction that is an offer to sell energy at a specified location in the Day-ahead Energy Market. A cleared Increment Offer results in scheduled generation at the specified location in the Day-ahead Energy Market.
Repurchase Value means the Fair Market Value in the event the award to be repurchased under Section 10.2 is comprised of shares of Common Stock and the difference between Fair Market Value and the Exercise Price (if lower than Fair Market Value) in the event the award is a Stock Option or Stock Appreciation Right; in each case, multiplied by the number of shares subject to the award.
Form of Fundamental Change Repurchase Notice means the “Form of Fundamental Change Repurchase Notice” attached as Attachment 2 to the Form of Note attached hereto as Exhibit A.
Repurchase Request As defined in Section 2.03(g).
Repurchase Request Rejection As defined in Section 2.03(a) of this Agreement.
Redemption Request has the meaning as set forth in Section 8.1.
Repurchase Proceeds the Repurchase Price in connection with any repurchase of a Mortgage Loan by the Seller and any cash deposit in connection with the substitution of a Mortgage Loan.
Acceleration Request means a request pursuant to Operating Agreement, Schedule 1, section 1.9.4A, and the parallel provisions of Tariff, Attachment K-Appendix, section 1.9.4A, to accelerate or reschedule a transmission outage scheduled pursuant to Operating Agreement, Schedule 1, section 1.9.2 or Operating Agreement, Schedule 1, section 1.9.4, and the parallel provisions of Tariff, Attachment K-Appendix, section 1.9.2 or Tariff, Attachment K-Appendix, section 1.9.4.
Optional Purchase has the meaning set forth in Section 8.1 of the Sale and Servicing Agreement.
Right of Repurchase means the Company’s right of repurchase described in Section 7.
Incremental Purchase means a purchase of one or more Purchaser Interests which increases the total outstanding Aggregate Capital hereunder.
Repurchase Request Recipient As defined in Section 2.03(g).
Form of Fundamental Change Purchase Notice means the “Form of Fundamental Change Purchase Notice” attached as Attachment 2 to the Form of Note attached hereto as Exhibit A.
Repurchase Amount shall have the meaning set forth in Section 4.2 hereof.
Right of First Offer shall have the meaning set forth in Section 6.5.2.
Mandatory Purchase means the mandatory purchase of Outstanding VRDP Shares by the Liquidity Provider pursuant to this Agreement in connection with a Mandatory Purchase Event.
Borrower Solicitation of Discount Range Prepayment Offers means the solicitation by any Borrower Party of offers for, and the corresponding acceptance by a Lender of, a voluntary prepayment of Loans at a specified range of discounts to par pursuant to Section 2.05(1)(e)(C).
Request Notice has the meaning set forth in Section 3.02(a).
Interest Election Request means a request by the Borrower to convert or continue a Borrowing in accordance with Section 2.05.
Early Repurchase Date shall have the meaning specified in Section 3(d) of this Agreement.
