Reputational Event definition

Reputational Event means any event during which the Recipient by way of act or omission embarrasses, prejudices or tarnishes or is likely to embarrass, prejudice or tarnish the reputation of IMDA or the Singapore Government, determined at the sole and absolute discretion of IMDA.
Reputational Event means any change, effect, event, state of fact or development that, individually or together with any one or more changes, effects, events, states of facts or developments, which (i) has had or would have a material adverse reputational impact or material reputational damages on (x) the Purchaser or any of its Affiliates or (y) the Company or any of its Affiliates and is as a result of fraud, fraudulent acts or willful misconducts on the part of the Company or any of its Affiliates, or (ii) has had or would have a material adverse reputational impact or material reputational damages on the Company or any of its Affiliates that would in turn be reasonably and objectively expected by the Purchaser to have a material adverse reputational impact on the Purchaser or any of its Affiliates as well, in each case as a result of the Purchaser’s investment in the Company.

Examples of Reputational Event in a sentence

  • By either the Company or Schwab, if the other has suffered an Adverse Reputational Event that has or would be reasonably likely to have a material adverse effect on (i) the financial condition, properties, prospects, business or results of operations of the Party seeking to effect such termination or (ii) the reputation, brand, goodwill or image of the Party seeking to effect such termination.

  • By either the Company or Parent, if the other has suffered an Adverse Reputational Event that has or would be reasonably likely to have a material adverse effect on (i) the financial condition, properties, prospects, business or results of operations of the Party seeking to effect such termination or (ii) the reputation, brand, goodwill or image of the Party seeking to effect such termination.

Related to Reputational Event

  • Severe Disruption Event means any event specified as such in the Final Terms.

  • Sporting event means any of the following athletic activities that is organized, operated, managed, or sponsored by the School:

  • Consultation Termination Event shall have the meaning assigned to such term or an analogous term in the Servicing Agreement.

  • Medical event means an improper administration of radiation or radioactive material to a patient or human research subject that requires reporting to the department.

  • Disabling Event means the General Partner ceasing to be the general partner of the Partnership pursuant to Section 17-402 of the Act.
