Repurchase Options definition

Repurchase Options has the meaning ascribed to it in Section 5.9(a).
Repurchase Options means the right to repurchase one or more of the Mortgaged Properties pursuant to a recorded instrument (or a memorandum thereof) encumbering the applicable Mortgaged Property.
Repurchase Options means Options the underlying shares of Stock of which are allocated out of the Repurchase Pool, and except to the extent specifically provided otherwise herein, a Repurchase Option shall be treated in all respects as an Option in accordance with the Plan.

  • Any payment hereunder with respect to such termination shall be calculated pursuant to Section 6 of the Agreement as if (1) an Early Termination Date had been designated in respect of a Transaction having terms identical to this Transaction and a Number of Options equal to the number of Repurchase Options, (2) Counterparty were the sole Affected Party with respect to such Additional Termination Event and (3) the terminated portion of the Transaction were the sole Affected Transaction.

  • Any payment hereunder with respect to such termination shall be calculated pursuant to Section 6 of the Agreement as if (1) an Early Termination Date had been designated in respect of a Transaction having terms identical to this Transaction and an aggregate Number of Options equal to the number of Repurchase Options, (2) Counterparty were the sole Affected Party with respect to such Additional Termination Event and (3) the terminated portion of the Transaction were the sole Affected Transaction.

  • There exists no default or breach any of the Repurchase Options, Use Restrictions and/or any ROFR, and, except as set forth on Schedule 3.14(a), no facts exist that would trigger any ROFR Statute, any of the Repurchase Options and/or any ROFR.

  • While the total Option Price shall remain the same after each such event, the Option Price per share of Repurchasable Stock upon exercise of the Repurchase Options shall be appropriately adjusted.

  • There exists no default or breach of any of the Repurchase Options, Use Restrictions and/or any ROFR, and, except as set forth on Schedule 3.14(a), no facts known to any Credit Party exist that would trigger any ROFR Statute, any of the Repurchase Options and/or any ROFR.

  • This Option is immediately exercisable although the Shares issued upon exercise of the Option will be subject to the restrictions on transfer and Repurchase Options set forth in Sections 7, 8 and 9 below.

  • Furthermore, it is expressly agreed between the parties that money damages are inadequate to compensate the Company for the Repurchasable Stock and that the Company shall, upon proper exercise of any of the Repurchase Options, be entitled to specific enforcement of its rights to purchase and receive said Repurchasable Stock.
