Repurchase Assignments definition

Repurchase Assignments means Assignment and Assumption Agreements, in the same form used to transfer the Purchased Assets to Buyer (but with changes necessary to reflect Buyer as assignor and Seller as assignee), pursuant to which Buyer shall sell, transfer, assign, convey and deliver the Purchased Assets to Seller and Seller shall assume and agree to pay, perform or otherwise discharge the Assumed Obligations in the event of an Unanticipated Contingency.
Repurchase Assignments has the meaning specified in Section 2.5(b).
Repurchase Assignments has the meaning set forth in the Fund III Purchase Agreement or Warehouse Purchase Agreement, as applicable.

Examples of Repurchase Assignments in a sentence

  • The following documents shall have been entered into in a form and substance satisfactory to each Party in its sole discretion: (a) the Cash Escrow Agreement, (b) all Assignment and Assumption Agreements, (c) all Repurchase Assignments, and (d) any other document or agreement relating to the repurchase and/or escrow arrangements described in Section 2.5.
