All cash deposited by the Company with the Repurchase Agent for distribution pursuant to this Section 2.3 is referred to in this Agreement as the “Repurchase Fund.” The Repurchase Agent will, pursuant to irrevocable instructions to be delivered to the Repurchase Agent by the Company, deliver the appropriate consideration out of the Repurchase Fund.

Any Seller shall fail to make any payment not otherwise enumerated that is owing to any Purchaser, Repurchase Agent, Realisation Agent or Common Issuer Facility Agent that has become due, whether by acceleration or otherwise under the terms of this Agreement, within five (5) Business Days after notice to such Seller from any Person or such Seller’s Knowledge thereof.
Neither Repurchase Agent nor any of its directors, officers, agents or employees shall be liable for any action taken or omitted to be taken by it or them under or in connection with the Transaction Documents, except for its or their own gross negligence, bad faith or wilful misconduct.
Notwithstanding anything to the contrary in any Transaction Document, any consent or approval of any Purchaser expressly required or permitted to be made by Repurchase Agent, acting as agent of such Purchaser, may 102 be made by Repurchase Agent without consultation with, or consent or approval of, such Purchaser.
Each Seller’s and Pledgor’s chief executive office is located at the address for notices specified for such Seller and Pledgor on Exhibit I, unless such Seller or Pledgor, as applicable, has provided a new chief executive office address to Purchasers, Repurchase Agent and Realisation Agent in writing.
Purchasers, Repurchase Agent and Realisation Agent shall have received from Servicer a written acknowledgement that each Eligible Asset to be sold to the applicable Purchaser will be serviced in accordance with the applicable Servicing Agreement as of the related Purchase Date.
