REPRICING RATE definition
REPRICING RATE means the number of shares of Common Stock issuable upon exercise of each Repricing Right pursuant to Section 5(b) determined according to the following formula; provided that if the result of such formula is less than zero, then the result shall be deemed to be zero: (Repricing Price - Market Price) -------------------------------- Market Price
REPRICING RATE means the number of Repricing Shares issuable upon exercise of each Repricing Right pursuant to Section 3(c) determined according to the following formula; provided that if the result of such formula is less than zero, then the result shall be deemed to be zero: (Repricing Price Average Market Price) Average Market Price
REPRICING RATE means the number of Repricing Shares issuable upon exercise of each Repricing Right pursuant to Section 2.2(c) determined according to the following formula: (Purchase Price - Average Market Price) Average Market Price Provided, however; that the Purchase Price used to determine the Repricing Rate shall be reduced from time to time to give effect to any anti-dilution adjustments made to the Purchase Price pursuant to Section 2.5 hereof.
