Representative Agent means, with respect to (a) the Refinancing Lender Parties and the Refinancing Facility, the Refinancing Lender Agent, (b) the New Money Lenders and the New Money Facility, the New Money Lender Agent and (c) the Springdale Lenders and the Springdale Facility, the Springdale Lender Agent.

• Any L/C Issuer may be replaced with another Lender (or an Affiliate of a Lender) at any time by written agreement among Borrower Representative, Agent, the Requisite Lenders, and the successor L/C Issuer.

• No delay by Borrower Representative, Agent or the Required Lenders in requiring such negotiation shall limit their right to so require such a negotiation at any time after such a change in accounting principles.
