Unless otherwise excused by the waiver of a delivery obligation under Section 3.5 or a Force Majeure Event under Section 7.2, if GASMARK fails to deliver all or a portion of a Scheduled Quantity on any day, GASMARK shall pay Utility (i) the positive difference between the cost of Replacement Supply and the applicable commodity charges for the undelivered quantity, and (ii) a liquidated damages charge of $75 per Dth applied against all undelivered quantities.
Buyer shall supply Seller with Replacement Supply Contracts (as defined in the Consent Order) acceptable to Buyer and authorize(s) Seller to offer such contracts to each Northwest Branded Seller (as defined in the Consent Order).
