Replacement Materials definition
Replacement Materials has the meaning assigned to such term in Section 2.11.2.
Replacement Materials replace the existing Deposit defined by Exhibit B(s). Licensor will submit any Replacement Materials accompanied by an Exhibit B. Within ten (10) days of acceptance by Escrow Holder of such Replacement Materials, Escrow Holder shall notify Licensor and Licensee by issuing a copy of the Exhibit B. Escrow Holder will destroy or return to Licensor all materials that are replaced by the Replacement Materials.
Replacement Materials will include any materials intended to replace the existing all or part of the parcel. Within ten (10) days of acceptance by SourceFile of such Supplemental or Replacement Deposit, SourceFile Shall notify Depositor and Beneficiary and identifying the nature of the supplemental or replacement materials as the case may be. In addition, the parties acknowledge delivery of, and SourceFile acknowledges receipt of, a fully executed original license agreement (the "License Agreement") by and between Depositor and Beneficiary, a copy of which is attached as EXHIBIT "B", which SourceFile also shall maintain in escrow and only deliver to Beneficiary concurrent with delivery to Beneficiary of the Source Materials pursuant to Section 3 Below. Depositor agrees that is shall not at any time revoke the License Agreement or any rights, permissions or other authorizations issued or granted in the Source Materials, or attempt or assist others in any action to do so.
Examples of Replacement Materials in a sentence
Without limiting the generality of the foregoing, in the event any special equipment or additional labor is required to deliver the Replacement Materials to the point of installation, Contractor shall be responsible for payment of all additional costs relating to such special equipment and additional labor.
Contractor’s obligations to correct Defective Work and/or Materials shall include, without limitation, all costs related to: (a) removal of Defective Work and/or Materials from the Site, (b) procurement of replacement equipment and materials (“Replacement Materials”) for the Defective Work and/or Materials, and (c) delivery of the Replacement Materials to the point of installation on the Site.
