Manager, in its reasonable discretion, and subject to the exceptions stated below, shall decide whether to purchase or lease any Replacement FF&E or motor vehicles used in transporting Inn guests.
If Manager enters into any lease of Replacement FF&E or motor vehicles used in transporting Inn guests, it shall do so on Owner's behalf and as Owner's agent; or, upon Manager's recommendation and request, Owner shall directly enter into such leases.
If Manager enters into any lease of Replacement FF&E or motor vehicles used in transporting Inn guests, it shall do so on Lessee's behalf and as Lessee's agent; or, upon Manager's recommendation and request, Lessee shall directly enter into such leases.
At its sole option, Tenant shall have the right to replace any damaged Existing FF&E with a substantially similar item of furniture, fixture, or equipment (any such item or items, a “Replacement FF&E”), provided that Tenant shall provide Landlord with prior notice and photos and receipts for any such Replacement FF&E items for Landlord’s records.
At the expiration or earlier termination of the Lease, Tenant shall transfer ownership of the Replacement FF&E to Landlord at no additional charge to Landlord, on an “AS-IS”, WITH ALL FAULTS” basis, without recourse, representation or warranty of any kind or nature, express or implied, and in no event shall Tenant owe Landlord any compensation for the items of the Existing FF&E that were replaced due to such damage.
