Replacement APU definition

Replacement APU means an auxiliary power unit of the same type and model as the replaced APU (or an auxiliary power unit of an improved model suitable for installation and use on the Airframe) in airworthy condition that:
Replacement APU means an "APU" that has duly replaced the APU in accordance with the requirements of Section 8.11(b).
Replacement APU has the meaning set forth in Clause 15.3(c).

  • In the case of any replacement of an Engine or the APU pursuant to Section 8.11(b), and otherwise if so requested by Lessor, Lessee will provide a properly executed ▇▇▇▇ of sale or similar instrument to evidence the vesting of good and marketable title, free and clear of Security Interest (except Lessor Liens), to any such Replacement Engine, Replacement APU or other equipment in Owner and all documents required under the Financing Documents.

Replacement APU means another auxiliary power unit:
Replacement APU means an auxiliary power unit in accordance with this Agreement (or an auxiliary power unit of an improved model suitable for installation and use on the Airframe) (i) in the same operating condition as, and having a value, utility and remaining useful life at least equal to, the replaced APU (assuming that the replaced APU was in the condition and repair in which it is required to be maintained under this Agreement); (ii) has no fewer Flight Hours or Cycles then the replaced APU remaining to the next expected life restoring shop visit and to the next removal for replacement of life limited parts; (iii) the LLPs in the Replacement APU shall have on average Cycles of life remaining not fewer than those in the replaced APU; and (iv) appropriate certification which shall be either EASA Form 1 or FAA 8130 Tag.
