Repap definition

Repap shall have the meaning set forth in the Preamble.

"SEC" shall mean the Securities and Exchange Commission. "SECURITIES ACT" shall mean the Securities Act of 1933, as amended. "SEVERANCE PLANS" shall have the meaning set forth in Section 6.4. "SHARES" shall have the meaning set forth in the Preamble. "SKEENA" shall have the meaning set forth in the Preamble. "STANDBY LOAN AGREEMENT" shall mean the standby loan agreement made as of August 1, 1996 by and among Repap Enterprises Inc., as borrower, TD Capital Group Limited, The Toronto-Dominion Bank and The Royal Bank of Canada, as lenders, and TD Capital Group Limited, as agent, as amended, supplemented or restated from time to time. "STATEMENT OF CAPITAL EXPENDITURES" shall have the meaning set forth in Section 2.3(c). "STATEMENT OF CONSOLIDATED NET WORKING CAPITAL" shall have the meaning set forth in Section 2.3(c). "STATEMENT OF DEBT" shall have the meaning set forth in Section 2.3(c). "SUBSIDIAR[Y][IES]" shall have the meaning set forth in Section 3.3 of Annex A. "TAX PACKAGE" shall have the meaning set forth in Section 5.5. "TAX RETURNS" shall mean all federal, state, local or foreign tax returns, tax reports, and declarations of estimated tax, including without limitation consolidated federal income tax returns of Repap Group.   • Except as otherwise expressly provided for herein, this Agreement, and the rights granted and the obligations incurred hereunder, are not assignable, whether in whole or in part, by the Executive without the prior written consent of Repap.
