The indemnification provided by this Section shall encompass claims by the SPI Indemnitees against Renegy for any Loss sustained by the SPI whether or not involving any claim, action or proceeding by a Third Party; provided, however that if the Loss relates to breach of SPI’s representations or warranties regarding Hazardous Materials located upon the Property or any violations of Environmental Laws, the provisions of Section 5 shall apply.
Renegy hereby unconditionally, absolutely and irrevocably agrees to hold Buyer and its successors and assigns harmless and to indemnify Buyer and its successors and assigns from, for and against any and all costs and expenses, including reasonable attorneys’ fees, arising out of or relating to any failure by Renegy to carry out, observe and perform in accordance with this Article 11 any of the Renegy Guaranteed Obligations contained in or arising from this Article 11.
Renegy shall inspect, review and otherwise perform whatever acts Renegy deems necessary, at Renegy’s sole cost and expense, to determine the condition of the Property so that, after the Closing Date, Renegy may use, operate, repair and maintain the Property in its present location.
Delivery to Administrative Agent of the Fuel Supply Plan; and Renegy shall have entered into sufficient type and quantity of fuel procurement agreements to ensure that the Fuel Stockpile will be in place by the Term-Conversion Date.
In no event shall Buyer have any obligation (although it is entitled, at its option) to proceed against Seller before seeking satisfaction from Renegy, and Buyer may proceed, prior or subsequent to, or simultaneously with, the enforcement of Buyer’s rights hereunder, to exercise any right or remedy which it may have under this Agreement, including this Article 11.

Renegy and SPI shall cooperate fully with each other and their respective attorneys, accountants and other representatives in connection with the defense or settlement of a matter for which a Party has an indemnification obligation pursuant to this Section 4.
Administrative Agent shall promptly notify each Lender of the contents of each Notice of Borrowing, Notice of Renegy Term Loan Borrowing, Notice of Term-Conversion and Notice of Interest Terms, and shall notify each Revolving Lender of the contents of each Notice of Revolving Loan Borrowing.
Notwithstanding any provision to the contrary in this section, Borrowers shall request no more than one Renegy Term Loan Borrowing per month.
Borrowers may not re-borrow the principal amount of any Construction Loan, Renegy Term Loan or Term Loan which is prepaid.
