Rendezvous means collectively, (i) the company or person that signed up for Rendezvous VIP package and agreed to enter into this contract upon acceptance by Meeting Professionals International Foundation in the manner stated below and (ii) each of its officers, directors, shareholders, employees, contracts, agents, representatives and/or invitees, as applicable.

• Subject to the eligibility provisions set out hereunder, the following days shall be recognized as paid General Holidays: New Year's Day Labour Day Good Friday Thanksgiving Day Victoria Day Remembrance Day Canada Day Christmas Day Discovery Day Boxing Day Rendezvous Friday and any other days as may be proclaimed a holiday by the Federal Government or, Yukon Territorial Government.

• There are no material structural defects relating to any of the MGR Assets or, to the Contributing Parties’ Knowledge, the assets of Rendezvous, and the MGR Assets (and to the Contributing Parties’ Knowledge, the assets of Rendezvous) are in good repair, working order and operating condition, ordinary wear and tear excepted, and are adequate for the operation of such assets consistent with past business practices.

• The MGR Interest and, to the Contributing Parties’ Knowledge, the Rendezvous Interest, are duly authorized, validly issued and outstanding and fully paid, and were issued free of preemptive rights and in compliance with applicable Laws.
