Remaining Payment Amount definition
Remaining Payment Amount means the sum of amount of the average outstanding balance of the Revolving Loans during the period from the date of the initial Loan advance hereunder through the date of prepayment.

Remaining Payment Amount means a lump-sum amount equal to the net present value of the remaining Transaction Fee (if any), the Monitoring Fee, the Subsequent Fee or any other fees pursuant to this Agreement owing and payable by the Company to such Manager (or its Manager Designees) from (i) in the case of a Deferred IPO Fees Payment Date resulting from a Sale, the date of such Sale or (ii) in the case of a Deferred IPO Fees Payment Date resulting other than from a Sale, such date, in each case until the expiration of the Initial Term (which amount shall be determined using an annual discount rate equal to the then-current rate of interest on the Company’s revolving credit facility, and assuming that EBITDA would have grown at a rate equal to the greater of (x) 6%, compounded annually and (y) the compounded annual EBITDA growth rate for the last two completed fiscal years).

Remaining Payment Amount means the sum of (x) amount of each future and unpaid scheduled payment of principal and interest on the Term Loan, that would be due on or after the date of a prepayment of the Term Loan if no payment of the Term Loan were made prior to the end of the Term, PLUS (y) the amount of all Term Loan related fees which would have been earned by Lender from the date of prepayment through the end of the Term if no payment of the Term Loan were made prior to the end of the Term. Lender shall provide Borrower with a written calculation of the Make Whole Amount due from Borrower hereunder, which calculation shall be presumptively correct absent manifest error.
Remaining Payment Amount means the sum of (euro) 14,500,0000 (Fourteen Million Five Hundred Thousand Euro) minus the First Issuance Euro Amount and minus any amount for penalties, liabilities, reimbursement or indemnification due to the Purchasers by the Sellers arising under this Agreement prior to 15 February 2002.
