Remaining Operations definition

Remaining Operations means the ownership, design, development, manufacture, marketing and commercial exploitation by Seller of cervical plate systems and/or other products, inventions, devices, systems, instruments, property (tangible and intangible) and rights now or in the future other than, in each case, the SmartPlate Products. For purposes of this Agreement, the term “Remaining Operations” expressly includes, without limitation, the ownership, design, development, manufacture, marketing and commercial exploitation by Seller of Seller’s InterPlate™ cervical plate system and Seller’s Pedicle Screw system.

  • Prior to the Closing, Buyer and Seller shall in good faith negotiate the terms of any easements on, over and within the Oakley Complex that are appropriate to accommodate the ingress and egress to and from the facilities leased, owned or occupied by Buyer in respect of the Business following the Closing and the facilities leased, owned or occupied by Seller's Remaining Operations.

  • Without the written consents of Best Assistant, no Party shall offer, propose, negotiate, commit, agree to, take or effect any Restrictive Conditions with respect to eLMTree or the G▇▇▇ Remaining Operations in order to satisfy the Required Approvals Condition.
