Executive acknowledges that, as an express condition of his employment, and his continuing employment by the Company, Executive will relocate to the Relocation Area in accordance with the Relocation Schedule determined pursuant to Section 1.2.
Tenant shall have five (5) days following receipt of the Relo Offer Notice (which notice shall describe the portion of the Relocation Area available and set forth the date on which the relocation would occur) to notify Landlord in writing if Tenant is exercising Tenant’s right to lease the Relocation Area (or portion thereof offered in the Relo Offer Notice).
Upon the completion of a permitted relocation within the Relocation Area, neither the licensee, nor any successor or assign, nor any other person whatsoever shall thereafter be licensed, permitted or allowed to use, manufacture or operate the Escape System, Equipment and/or Know How and Technical Information at the original Location or any other place or location, excepting only the Substitute Location.
In connection with the relocation of the Permanent Spaces and the 33 spaces within the Temporary Relocation Area, Landlord agrees that it: (i) shall use all reasonable efforts to minimize the impact of its construction activities on the Tenant, (ii) shall use all reasonable efforts to complete its construction activities on an expedited basis, and (iii) shall use all reasonable efforts to keep the Tenant informed, on a routine basis, in connection with the progress of its construction activities.
Executive agrees and understands that Executive shall be required to permanently relocate to the Relocation Area within 12 months following the Effective Date (the “Relocation Requirement”).
During the Initial Term, Ohlone College shall have the right at its sole cost and expense to require Licensee to remove and relocate the New Facilities (the "New Relocation Area").
If Tenant does not exercise the right to relocate within such five (5) day period, then such right shall be deemed to have lapsed and Landlord may thereafter freely lease all or a portion of the Relocation Area to any other party, at any time, on any terms in Landlord’s sole discretion.
In connection with the relocation of the Permanent Spaces and the 13 spaces within the Temporary Relocation Area, Landlord agrees that it: (i) shall use all reasonable efforts to minimize the impact of its construction activities on the Tenant, (ii) shall use all reasonable efforts to complete its construction activities on an expedited basis, and (iii) shall use all reasonable efforts to keep the Tenant informed, on a routine basis, in connection with the progress of its construction activities.
In addition, the Company shall provide the Executive with assistance reasonably requested by him in connection with obtaining any necessary work permits, visas, and any other administrative authorizations required to allow the Executive to work in the Relocation Area.
The list of the ten (10) relocated sites is provided below and referred to as the Stone Arrangement Relocation Area (▇▇▇▇).
