Relevant Completion Date definition

Relevant Completion Date means (a) with respect to each event or transaction described in Section 2.05(b)(ii), (b)(iii) and (b)(iv), the date on which the Net Cash Proceeds arising from such event or transaction are received by the Company or any of its Subsidiaries and (b) with respect to each event described in Section 2.05(b)(vi), the date on which the relevant Net Insurance/Condemnation Proceeds are required to be applied in prepayment under this Agreement, the Existing Revolving Credit Agreement and the Existing 2015 Term Loan Credit Agreement.
Relevant Completion Date means the Tranche 1 Completion Date or the Tranche 2 Completion Date (as the case may be);

Examples of Relevant Completion Date in a sentence

  • On each Relevant Completion Date, Tronox Purchaser, Tronox Global Holdings and Exxaro shall complete the transfer of the Tranche 1 Interests or Tranche 2 Interests, as applicable, and to admit Tronox Purchaser as a Tronox Sands Member.

  • Completion Subject to satisfaction or waiver (as case may be) of all of the conditions precedent of the SPA, Completion shall take place at 4: 00 p.m. (Hong Kong time) of the Relevant Completion Date or such other date as the parties to the SPA may agree.

For the Hotel to be considered under construction, youmust have begun to pour concrete foundations for the Hotel or otherwise satisfied any site-specific criteria for “under construction” set out in the Addendum.

  • Date of Completion with respect to a Project shall mean: (i) the date upon which such Project and all components thereof have been acquired or constructed and are capable of performing the functions for which they were intended, as evidenced by an Engineers’ Certificate filed with the Trustee and the Issuer; or (ii) the date on which the Issuer determines, upon the recommendation of or in consultation with the Consulting Engineer, that it cannot complete such Project in a sound and economical manner within a reasonable period of time as evidenced by an Engineers’ Certificate filed with the Trustee and the Issuer; provided that in each case such certificate of the Consulting Engineer shall set forth the amount of all Costs of such Project which have theretofore been incurred, but which on the Date of Completion is or will be unpaid or unreimbursed.

  • Improvement completion assurance means a surety bond, letter of credit,

  • Construction Completion means physical construction of a cleanup action component is complete.

  • Successful Completion means that in the reasonable opinion of the Customer, Deliverables completed by the Supplier are fit for purpose, completed on time and otherwise meet all the criteria defined under this Contract;

  • Mechanical Completion means that (a) all components and systems of the Project have been properly constructed, installed and functionally tested according to EPC Contract requirements in a safe and prudent manner that does not void any equipment or system warranties or violate any permits, approvals or Laws; (b) the Project is ready for testing and commissioning, as applicable; (c) Seller has provided written acceptance to the EPC Contractor of mechanical completion as that term is specifically defined in the EPC Contract.

  • Completion Notice means a notice issued by the Developer in accordance with clause 6.1.

  • Virtual Completion means the premise is in the opinion of the Employer fit for occupation.
