• If any RemainCo Employee or DivestCo Employee requires an Employment Approval to transfer employment as contemplated by this Separation Agreement and the SPA and Employment Approval is not obtained prior to the Separation Effective Time the parties, subject to applicable law and regulation, shall use commercially reasonable efforts to make the services of such employee available to the other party until such time as the Relevant Approval is obtained in accordance with Clause 15.27.
